Corporate Governance Analyst

Overview

• World Business Lenders (WBL) is a privately held portfolio lender specializing in real estate-secured business loans for underserved businesses. WBL operates with a fully remote, multinational workforce and an experienced executive leadership team.
• Typically, the work schedule is from 9:00 AM to 6:00 PM Eastern Time, Monday through Friday, though additional hours may be required based on business needs.

About the Role

• WBL is seeking a Corporate Governance Analyst to support entity maintenance, corporate filings, governance approvals, recordkeeping, intellectual property administration, and corporate-structure projects. The Analyst will maintain accurate entity data, coordinate signatures and filings, track deadlines, and keep governance records complete and accessible.

What Success Looks Like 

• Keeps entity profiles, calendars, minute books, organizational charts, and filing records accurate and current.
• Coordinates approvals, signatures, filings, and follow-up without missed deadlines.
• Produces complete, well-organized records for audits, transactions, and diligence requests.
• Identifies discrepancies, missing documents, and standing issues and escalates them promptly.

What You'll Be Doing (Core Responsibilities)

• Entity and Records Administration
• Maintain entity profiles, officer and director information, addresses, registered-agent records, ownership data, and organizational charts.
• Organize and update minute books, charters, bylaws, operating agreements, resolutions, consents, certificates, and related records.
• Process approved updates to entity information and confirm consistency across internal systems and external portals.
• Respond to authorized requests for governance documents and entity information using established controls.
• Filings and Good Standing
• Maintain calendars for annual reports, renewals, foreign qualifications, franchise filings, registered-agent matters, and other recurring obligations.
• Prepare and coordinate approved filings, certificates, applications, cover letters, and supporting documentation.
• Monitor filing status, obtain evidence of acceptance, and maintain good-standing certificates and official correspondence.
• Identify approaching deadlines, rejected filings, discrepancies, and delinquent items for escalation.
• Governance Approvals and Project Support
• Prepare standard resolutions, written consents, incumbency certificates, signature packets, and meeting materials using approved templates.
• Coordinate reviews, approvals, electronic signatures, notarization, filing, and final record retention.
• Support entity formations, dissolutions, qualifications, reorganizations, transactions, audits, and diligence projects.
• Assist with administrative tracking of intellectual property registrations, renewals, assignments, and supporting records.
• Reporting and Quality Control
• Prepare routine reports on entity status, open actions, upcoming obligations, missing records, and filing completion.
• Perform periodic comparisons of entity data and governance records and help resolve inconsistencies.
• Maintain standard trackers, checklists, templates, naming conventions, and document-retention practices.
• Protect confidential and privileged information and follow established quality-review procedures.

Requirements

• Education
• Bachelor's degree in legal studies, business, finance, accounting, or a related field; equivalent relevant experience may be considered.
• Paralegal or corporate-governance coursework or certification is preferred.
  
• Required Experience
• 2+ years of experience in corporate governance, entity management, corporate legal operations, paralegal support, or a related administrative function.
• Experience maintaining entity records, preparing filings, coordinating signatures, or organizing minute books is preferred.
• Ability to manage detailed, deadline-driven work across multiple entities and jurisdictions.
• Strong written communication, document-control, and quality-review skills.

Preferred Industry Experience

• Financial services, commercial lending, private lending, banking, fintech, specialty finance, mortgage lending, or another highly regulated industry.

Specific Technical Skills

• Entity data, governance calendars, and corporate records administration.
• Corporate filings, resolutions, consents, and signature coordination.
• Organizational charts, minute books, and document repositories.
• Microsoft Office and experience with entity-management or registered-agent platforms.

Must-Have Requirements

• Must be able to read and speak English fluently.
• Strong ability to prioritize tasks and manage multiple deadlines.
• Proficiency in Outlook and Teams for scheduling, communication, and collaboration.
